This BPO Services Addendum (“Addendum”) governs Business Process Outsourcing (BPO), desk services, and remote staffing services provided by LinkedIP.
This Addendum is incorporated by reference into the LinkedIP Master Service Agreement (MSA).
1. SERVICE CATEGORIES
LinkedIP offers two primary BPO service models.
1.1 Desk Services
Desk Services include:
• Physical workstation
• Office space
• Internet connectivity
• Power and office infrastructure
• Shared operational facilities
Desk Services provide infrastructure only and do not include staffing unless expressly stated in a written agreement.
1.2 Remote Employee / Remote Staffing
Remote Staffing services include:
• Assigned personnel
• Workstation and infrastructure
• Internet connectivity
• Administrative coordination
Remote Staffing combines staffing and workspace services as a bundled solution.
2. MINIMUM COMMITMENTS
2.1 Tandem Requirement – Desk Services
Desk Services are typically provisioned in groupings known as “Tandems.”
Each Tandem consists of six (6) workstation positions.
LinkedIP may provision Desk Services in Tandem units unless otherwise agreed in writing.
2.2 Minimum Remote Staffing Requirement
Remote Staffing engagements require a minimum of three (3) assigned personnel.
This structure supports:
• Operational continuity
• Internal coordination
• Coverage for absence or turnover
LinkedIP reserves the right to decline Remote Staffing engagements below this threshold.
3. POSITION ACTIVATION AND SETUP FEES
Each activation of a workstation or staffing position may incur a Setup Fee.
Setup Fees compensate LinkedIP for:
• Infrastructure provisioning
• Workstation preparation
• System configuration
• Administrative onboarding
Setup Fees are non-refundable.
4. POSITION REDUCTION AND REACTIVATION
Customers may request removal of a workstation or staffing position.
If a removed position is later reactivated, LinkedIP may charge a new Setup Fee to cover re-provisioning.
Frequent additions and removals that materially increase operational workload may result in revised commercial terms.
5. TEMPORARY POSITION SUSPENSION
Temporary pauses due to vacation, seasonal demand, or operational changes do not automatically reduce billing obligations.
LinkedIP may, at its discretion, offer a reduced Seat Retention Fee when infrastructure must remain reserved.
If a position is fully removed and later reinstated, a new Setup Fee may apply.
6. STAFF TURNOVER AND REPLACEMENT
In the event that a remote employee leaves or must be replaced due to resignation, termination, or operational changes, Customer agrees to allow LinkedIP a minimum of fifteen (15) business days to recruit and onboard a replacement.
LinkedIP will use commercially reasonable efforts to minimize disruption.
Billing continues during replacement periods unless otherwise agreed in writing.
7. OPERATIONAL CONTROL
Remote staff remain administratively managed by LinkedIP unless otherwise specified in a written agreement.
Customer personnel may coordinate operational matters but shall not directly hire, terminate, discipline, or otherwise exercise employer authority over LinkedIP personnel unless expressly agreed.
This arrangement does not constitute joint employment or co-employment.
8. CUSTOMER AUTHORIZED CONTACTS
Customer shall designate authorized representatives who are permitted to request operational changes, staffing adjustments, or contractual modifications.
Only requests from authorized representatives shall be considered binding for operational or contractual purposes.
Managers, supervisors, or personnel located at Customer facilities or remote locations may coordinate daily operational matters but shall not be deemed authorized to modify commercial terms or staffing levels unless expressly designated by Customer in writing.
LinkedIP reserves the right to request written confirmation from an authorized representative before implementing material changes.
9. OPERATIONAL COMMUNICATION PROTOCOL
Operational communication between Customer personnel and LinkedIP staff located at operational facilities may occur as part of normal service delivery.
However, such communication shall not create a separate contractual relationship with any local entity or operational facility.
All contractual obligations, billing arrangements, and commercial terms are governed exclusively by the agreement executed with LinkedIP LLC.
10. BILLING STRUCTURE
Desk Services and Remote Staffing services are billed monthly in advance unless otherwise specified in writing.
Partial month usage does not automatically result in prorated billing unless agreed in writing.
LinkedIP may revise pricing structures if Customer staffing levels fluctuate significantly or if operational demands materially change.
11. FACILITY ACCESS AND SECURITY
Customers and Customer representatives visiting operational facilities must comply with all security, confidentiality, and operational procedures established by LinkedIP.
LinkedIP reserves the right to restrict facility access when necessary to maintain operational integrity.
12. SERVICE CONTINUITY
LinkedIP will use commercially reasonable efforts to maintain service continuity.
However, LinkedIP shall not be liable for temporary disruptions caused by:
• employee illness
• employee turnover
• force majeure events
• infrastructure outages
13. CONFIDENTIALITY
Both parties agree to maintain confidentiality of sensitive business information, operational processes, and proprietary systems encountered during service delivery.
14. GOVERNING AGREEMENT
This Addendum forms part of the LinkedIP Master Service Agreement.
In the event of conflict, the terms of the MSA shall prevail unless expressly stated otherwise.
