SUMMARY FOR CUSTOMERS (Non-Binding Overview)
This summary is provided for convenience only. The full Agreement below governs all Services.
• Billing cycle begins on the 1st of each month

1. ACCEPTANCE
This Agreement becomes binding upon the earliest of:
• Execution of an Order Form, AFS, or Statement of Work
• Activation of Services
• Customer’s access to or continued use of Services
By accessing, activating, or continuing to use LinkedIP Services, Customer agrees to be bound by this Agreement.
2. SERVICES
LinkedIP LLC (“LinkedIP”) provides Unified Communications (UCaaS), Contact Center (CCaaS), SIP Trunking, Messaging (SMS and WhatsApp), AI Voicebots, hosting services, BPO services, Professional Services, and related telecommunications solutions (“Services”).
Services may rely on third-party carriers, infrastructure providers, licensors, hosting platforms, and software vendors.
3. BILLING, PAYMENT AND CREDIT TERMS
3.1 Standard Billing Cycle
LinkedIP operates on a standardized billing cycle beginning on the first (1st) day of each calendar month.
Anniversary billing does not apply unless expressly agreed in writing.
3.2 Initial Invoice – Full Month
Upon activation, the first invoice includes:
• All applicable Setup Fees
• A full month of Monthly Recurring Charges (MRC)
regardless of the specific activation date within the calendar month.
This structure aligns Customer billing with LinkedIP’s standardized monthly cycle and reflects standard industry practice.
3.3 Second Invoice – Proration
The second invoice may include a prorated adjustment to align billing with the standardized monthly cycle.
Beginning in the third month, full monthly billing applies.
3.4 Setup Fees – Non-Refundable
All setup, provisioning, onboarding, configuration, porting, and activation fees are non-refundable.
3.5 Initial Payment – Non-Refundable
Initial payments, including setup fees and first-month charges, are non-refundable.
LinkedIP may issue internal service credit at its sole discretion. Such credit is non-cash and may expire.
3.6 Credit Limit
LinkedIP may establish and modify a credit limit for each Customer at its sole discretion.
The credit limit may be based on:
• Monthly Recurring Charges
• Payment history
• Credit references
• Financial review
By default, the credit limit may be set at a value slightly above the Customer’s MRC.
Exceeding included usage does not automatically increase the credit limit.
If charges exceed the credit limit, LinkedIP may:
• Suspend Services
• Require immediate payment
• Require a security deposit
• Modify credit terms
3.7 Payment Method on File
LinkedIP may require a valid payment method on file, including ACH authorization, credit card authorization, or wire instructions.
Failure to maintain a valid payment method may result in suspension of Services.
For certain enterprise or government accounts, LinkedIP may waive this requirement at its discretion.
3.8 Credit Card Surcharges
LinkedIP may apply a credit card processing surcharge, particularly for high-value transactions.
Surcharges may reflect actual processing costs, typically ranging between 2.5% and 3.5% depending on card type.
LinkedIP may require ACH or wire transfer for accounts exceeding certain billing thresholds.
3.9 Bank Transfer and Wire Fees
Customer is responsible for ensuring that LinkedIP receives the full invoiced amount without deductions for bank charges, intermediary bank fees, currency conversion fees, or other transfer-related costs.
All wire transfer or banking fees charged by the sending bank or intermediary institutions shall be borne by the Customer.
If LinkedIP receives an amount less than the invoiced total due to such deductions, LinkedIP reserves the right to invoice the Customer for the difference or include the adjustment on the next invoice.
Payments shall be considered complete only when the full invoiced amount has been received by LinkedIP.
3.10 Late Payments
Late payments may incur interest of 1.5% per month or the maximum permitted by law.
LinkedIP may suspend Services for non-payment.
3.11 Reactivation Fee
Reactivation after suspension may require payment of a reactivation fee.
3.12 Security Deposit
LinkedIP may require a security deposit at its sole discretion based on credit review, payment history, anticipated usage, or risk assessment.
The security deposit may be used to cover unpaid balances, excess usage, or other outstanding charges.
LinkedIP reserves the right to adjust deposit requirements during the term if usage patterns or credit risk materially change.
Unless otherwise required by law, security deposits are not subject to interest.
3.13 Disputed Charges
Invoices must be disputed in writing within fifteen (15) days of issuance.
Failure to dispute within this period constitutes acceptance.
4. PRICE ADJUSTMENTS
4.1 Market-Based Adjustments
LinkedIP may adjust usage-based pricing due to carrier, regulatory, infrastructure, or vendor cost increases.
Where necessary to maintain service continuity, such adjustments may occur without prior notice.
4.2 Annual CPI Adjustment
LinkedIP may adjust recurring pricing annually based on the Consumer Price Index (CPI).
CPI adjustments do not constitute a breach and do not permit termination without applicable Early Termination Fees.
If pricing is contractually fixed for a term, CPI adjustments apply upon renewal unless otherwise stated.
5. TERMINATION
5.1 Notice Requirement
Termination requires thirty (30) days written notice submitted through official support channels.
5.2 Early Termination Fee
Early termination of a fixed-term agreement results in an Early Termination Fee equal to 100% of the remaining Monthly Recurring Charges for the remainder of the contractual term.
5.3 Hybrid Infrastructure Alignment
Because LinkedIP relies on third-party providers with independent billing cycles, termination may result in reasonable alignment fees covering non-cancellable obligations incurred on Customer’s behalf.
5.4 Platform Reduction or Pause Requests
Temporary reductions, pauses, or license adjustments are granted solely at LinkedIP’s discretion and do not waive contractual obligations.
6. SERVICE SUSPENSION
LinkedIP reserves the right to suspend Services immediately if:
• Payment obligations are not met
• Credit limits are exceeded
• Customer violates the Acceptable Use Policy
• Regulatory or carrier compliance concerns arise
• Continued service presents operational or financial risk
Suspension does not relieve Customer of payment obligations.
Services may be restored upon resolution of the issue and payment of applicable reactivation fees.
7. SUPPORT AND ADMINISTRATIVE REQUESTS
Remote support is the standard support method.
Administrative changes including but not limited to extension swaps, device reprovisioning, BLF changes, queue adjustments, call flow updates, or configuration modifications may be billable unless covered by an active Support Plan.
LinkedIP may require enrollment in a Support Plan when administrative requests become recurring.
8. ON-SITE VISITS
On-site visits are billable.
Visits are generally available within a twenty-five (25) mile radius of LinkedIP offices.
Mileage surcharges and travel expenses may apply beyond this radius.
Scheduling an on-site visit does not constitute admission of fault.
9. INTEGRATIONS
Integrations described as “out-of-the-box” may require configuration depending on the Customer environment.
Implementation assistance constitutes Professional Services unless expressly included in a written agreement.
10. THIRD-PARTY DEPENDENCIES
Certain Services rely on third-party providers including carriers, infrastructure vendors, software licensors, and cloud platforms.
LinkedIP does not control such third-party systems and therefore cannot guarantee uninterrupted availability or performance of services dependent on those providers.
LinkedIP shall not be liable for outages or disruptions caused by third-party service providers.
11. REGULATORY COMPLIANCE
Customer agrees to comply with all applicable telecommunications laws and regulations including FCC regulations, TCPA, STIR/SHAKEN, anti-spoofing requirements, robocall mitigation obligations, and applicable data protection laws.
Customer is solely responsible for lawful usage of the Services.
12. CUSTOMER DATA RESPONSIBILITY
Customer is responsible for ensuring that all data, content, communications, and information transmitted or processed through the Services comply with applicable laws and regulations.
LinkedIP does not monitor Customer content and assumes no liability for unlawful or improper use of the Services by the Customer.
13. SOLUTION FLEXIBILITY
LinkedIP may migrate Customers to alternative platforms within its portfolio if required due to vendor changes, pricing adjustments, regulatory shifts, or technical considerations.
Replacement solutions will offer materially comparable functionality whenever reasonably possible.
14. HARDWARE
Hardware provided may be new or certified refurbished at LinkedIP’s discretion.
Cosmetic condition is not guaranteed unless expressly stated in writing.
15. LIMITATION OF LIABILITY
LinkedIP’s total liability shall not exceed the amount paid by Customer in the three (3) months preceding the event giving rise to the claim.
LinkedIP shall not be liable for indirect, incidental, consequential, or lost profit damages.
16. INDEMNIFICATION
Customer agrees to indemnify and hold harmless LinkedIP from claims arising from:
• Customer misuse of Services
• Regulatory violations
• Unlawful messaging or calling campaigns
• Improper handling of personal data
17. FORCE MAJEURE
LinkedIP shall not be liable for delays or failures caused by events beyond its reasonable control including natural disasters, power outages, carrier failures, internet disruptions, government actions, labor disputes, war, pandemics, or similar events.
18. ASSIGNMENT
Customer may not assign this Agreement without written consent from LinkedIP.
LinkedIP may assign this Agreement to an affiliate, successor, or acquiring entity.
19. SEVERABILITY
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
20. WAIVER
Failure to enforce any provision does not constitute a waiver of future enforcement.
21. ENTIRE AGREEMENT
This Agreement, together with any signed Order Forms, AFS, or Addenda, constitutes the entire agreement between the parties and supersedes prior understandings.
22. AMENDMENTS AND UPDATES
LinkedIP may update this Agreement from time to time.
Updated versions will be published publicly and will indicate the “Last Updated” date.
Continued use of Services after publication constitutes acceptance of the updated Agreement.
Updates apply prospectively and do not retroactively modify previously incurred charges.
23. DISPUTE RESOLUTION
Disputes shall be resolved in Weston, Broward County, Florida.
The parties agree to mediation first. If unresolved, disputes shall proceed to binding arbitration in Broward County, Florida.
24. GOVERNING LAW
This Agreement is governed by the laws of the State of Florida.
